Israel's ISA and Retail Forex.

Israel built one of the strictest retail trading regimes anywhere after a decade of exported fraud embarrassed it. The rules are demanding on purpose, and the after-effects still shape who will bank an Israeli firm.

The Israel Securities Authority supervises the securities market, public issuers, mutual funds, portfolio managers and investment advisers, the Tel Aviv Stock Exchange, and the operators of what Israeli law calls trading arenas. That last category is the one retail trading founders care about. Under amendments to the Securities Law, a person operating a trading arena in Israel, meaning a venue where the operator is the counterparty to clients trading financial instruments, requires an ISA licence and is subject to detailed conduct rules.

The licence is not a formality. It brings capital requirements set against the permissions and the risk carried, client asset segregation obligations, mandatory disclosure on the cost and risk of leveraged products, restrictions on how clients are solicited and on the incentives sales staff may be paid, record keeping of client communications, and an ongoing reporting relationship with the Authority. Applicants and their controllers go through fit and proper testing. The regime was written after a period in which operations based in Israel sold binary options and leveraged products abroad using aggressive methods, and Israel eventually prohibited the offering of binary options from Israel to clients anywhere. That history is visible in every line of the current rulebook.

The extraterritorial part that catches firms out

Two separate questions matter and founders routinely merge them. The first is whether you may serve Israeli residents. Soliciting Israeli clients for leveraged trading is regulated activity in Israel, so an offshore firm running Hebrew language campaigns at an Israeli audience is operating inside the perimeter whatever its own licence says. The second is whether you may run an operation from Israel that serves clients elsewhere. Israel legislated on that too, which is unusual: the binary options prohibition reached activity conducted from Israel toward clients abroad, on the reasoning that the harm to Israel's reputation was the point at issue.

Any firm with people, servers or sales desks in Israel needs Israeli counsel on both questions before it opens a phone line. The general principle in our reverse solicitation piece applies here with less room than usual, because the enforcement history is real rather than theoretical.

The residue in banking and payments

This is where the history costs firms that had nothing to do with it. Compliance teams at banks, payment providers and acquirers maintain risk typologies, and one of the standing typologies in retail investment fraud references operations run out of Israel in the binary options era. That typology has not been deleted. A legitimate Israeli fintech opening a merchant account or a correspondent relationship today is answering questions generated by other people's conduct, and the answer is a documented file: licence reference, named compliance officer, client geography, refund and complaint statistics, marketing samples.

The mechanisms are the ordinary ones. Correspondent banks de-risk by category. Card schemes classify leveraged trading merchants as high risk with chargeback ratio monitoring and rolling reserves, which is set out in high risk merchant accounts. Advertising platforms run financial services advertiser verification and country restrictions. Liquidity providers apply internal jurisdiction ratings and ask where the end clients sit. None of that changes for a well run firm, but the burden of proof starts higher and the file has to be better. Firms operating from Tel Aviv report the same thing: the licence opens the conversation, the paperwork finishes it.

The conduct rules that shape the sales floor

The parts of the Israeli regime that change day to day operations are the conduct rules rather than the capital ones. Client communications have to be recorded and retained. Risk disclosure is prescribed rather than left to the marketing team. Incentive structures for sales staff are constrained, which matters because commission on client deposits is the mechanism that produced the worst behaviour in the binary options era. Advertising is treated as a regulated communication, not as free expression, and the firm carries responsibility for what its affiliates publish on its behalf.

That last point catches groups with large affiliate networks. If an affiliate promises outcomes, the licensed firm answers for it, so affiliate approval, creative review and takedown processes have to exist as real workflows with an audit trail. Trading is high risk and any statement implying otherwise is a compliance problem whoever wrote it.

What a serious firm does

If the Israeli retail market is the target, the route is an ISA licence and nothing else, built around the conduct rules as written. If Israel is only the operating base for a business serving clients elsewhere, the structural question is where the client facing entity is authorised, and the answer has to satisfy both the target market's regulator and Israeli law on activity conducted from Israel. Firms in that position often look at an EEA authorisation for European clients, covered in EU passporting rules, or a Gulf base such as ADGM where the regional client flows are closer.

Whichever route, the compliance evidence has to be produced continuously rather than assembled during an audit. Communication archives, marketing approvals, suitability records and complaint logs are the things counterparties ask for, and a firm that can export them in an afternoon gets treated differently from one that cannot.
