About These Terms

This Legal Center sets out the terms, policies and disclosures that apply to Scalegram and to the Scalegram pages of this website (together, the "Services"). The Services are provided by SGHK Softwares Limited, a company incorporated in Hong Kong, whose registered office is Flat 5, 4/F, Won Hing Building, 74-78 Stanley Street, Central, Hong Kong ("Singuard", "we", "us" or "our").
By visiting these pages, creating a Scalegram workspace, subscribing to a plan, connecting a Telegram account, inviting teammates, or otherwise using the Services, you confirm that you have read, understood and agree to be bound by these terms and policies. If you are entering into these terms on behalf of a company or other legal entity, you represent that you have authority to bind that entity, and "you" refers to that entity.
Scalegram is a business tool. We sell it to companies and directly to individual professionals who use it for commercial purposes, such as affiliates, community operators, agencies and sales teams. By subscribing you confirm that you are acting for purposes relating to your trade, business, craft or profession, and not as a consumer acquiring the service for private use. Where consumer-protection law nonetheless applies to you and cannot be excluded, nothing in these terms limits rights you hold under that law.
If you do not agree with any part of these terms, you must not use the Services.
We may update this Legal Center from time to time. The "last updated" date at the top shows when the most recent changes took effect. Material changes affecting active subscriptions will be notified by email or in the product with reasonable notice.

Definitions
- Scalegram / the Platform
- The Scalegram software-as-a-service, including the client workspace, contact and pipeline tooling, conversation mirror, tracking links, pixel integrations, bridge pages, the AI Assistant, analytics, associated APIs, and any documentation, updates and hosting we provide.
- Customer
- The business or individual professional that subscribes to Scalegram and owns a workspace. The Customer is responsible for its workspace, its Users, its Connected Accounts and its use of Lead data.
- Workspace
- The Customer's own environment inside Scalegram, branded with the Customer's name and logo and containing the Customer's data.
- Connected Account
- A Telegram account or Telegram bot the Customer connects to its workspace so that Scalegram can read and organise its conversations. Connections are made with the Customer's own credentials and at the Customer's choice.
- AI Assistant
- An optional software feature that, when the Customer attaches it to a Telegram profile through Telegram's own business-chatbot facility, generates and sends replies to incoming messages according to instructions the Customer writes. The Customer configures, supervises and is responsible for the AI Assistant at all times.
- Lead / Lead Data
- A person whose messages, contact details or trading-account information are processed in a Customer's workspace, and that information itself. For Lead Data, the Customer is the controller and Singuard is a processor acting on the Customer's instructions.
- Tracking Tools
- Tracking links, advertising-pixel integrations (such as Meta and TikTok), bridge pages and related analytics that the Customer configures inside its workspace.
- Subscription
- The Customer's paid plan, billed monthly or annually per workspace, with the limits and features of the chosen plan.
Terms of Service
Software licence & use of the Platform
3.1 Nature of the Services
Singuard provides software and hosting only. We license Scalegram to Customers as a managed, multi-tenant service. We do not provide, and the Services do not constitute, any regulated financial service, advertising service, messaging service of our own, or legal, tax or investment advice. Responsibility for how the Platform is configured and used, including which Telegram accounts are connected, what the AI Assistant is instructed to say, which Tracking Tools are enabled, and all dealings with Leads, rests entirely with the Customer.
3.2 Your Account and Workspace
You must provide accurate details when creating a workspace and keep them current. You are responsible for safeguarding sign-in credentials, for all activity under your workspace, and for the acts and omissions of your Users. You must notify us promptly of any unauthorised use. We may suspend access where we reasonably believe an account is compromised or is being used in breach of these terms.
3.3 Subscriptions, Billing and Renewal
Subscriptions are billed per workspace, in advance, on a monthly or annual cycle, at the prices shown at checkout or agreed with us in writing. Subscriptions renew automatically at the end of each billing period unless cancelled before renewal. You can cancel at any time; cancellation stops the next renewal and your access continues until the end of the period already paid for. Where a free trial is offered, the paid subscription starts automatically when the trial ends unless you cancel first.
We may change prices with at least 30 days' notice; changes apply from your next renewal. Taxes are your responsibility where applicable. If a payment fails we may retry it, notify you, apply a grace period, and then suspend the workspace to read-only until payment is made. We do not delete your data for non-payment during the grace and read-only periods, and export remains available.
3.4 Plan Limits and Fair Use
Each plan carries limits, such as the number of Users, Connected Accounts, contacts, tracking links and history depth. Limits are enforced in the product. We may apply reasonable technical measures, including rate limits, where usage threatens the stability of the service for others.
3.5 Your Data
Everything you put into your workspace, and everything synced into it from your Connected Accounts, is your data. We claim no ownership of it. You grant us a licence to host and process it solely to provide the Services. You can export your data at any time, and you can delete your workspace, which permanently removes it after a short recovery window.
3.6 Suspension and Termination
We may suspend or terminate a workspace that materially breaches these terms, creates legal or reputational risk for Singuard or for other customers, is used for prohibited activity under Section 5, or remains unpaid after the dunning process in Section 3.3. Where practicable we will warn you first and give you an opportunity to cure. On termination for your breach, fees remain due and are not refunded. You may terminate at any time by cancelling and letting the paid period run out.
3.7 Changes to the Services
Scalegram is under continuous development. We may add, change or retire features, provided that changes do not materially degrade the core service you pay for during a period you have already paid for.
Refund Policy
All sales final
All fees for Scalegram are final and non-refundable. This includes subscription fees for any billing period, setup or onboarding fees where charged, and any add-ons. It applies to monthly and annual plans alike, to renewals as well as first payments, and whether the workspace was used a lot, a little, or not at all.
The reasons are practical: Scalegram is a digital service that is activated and delivered in full the moment your subscription period begins. Hosting, sync capacity and support are provisioned for you immediately. For the same reason:
- No partial-period refunds. Cancelling mid-period stops the next renewal; it does not refund the current period.
- No refunds for downgrades. A downgrade takes effect at the next renewal.
- No refunds for unused capacity, such as empty seats or unconnected accounts.
- No refunds on termination for breach under Section 3.6.
Immediate performance and withdrawal rights. By subscribing you expressly request that the service begins immediately, and you acknowledge that, to the extent any statutory withdrawal or cooling-off right would otherwise apply, that right is lost once performance has begun. Scalegram is in any event sold to businesses and to individuals acting for commercial purposes, to whom consumer withdrawal rights do not generally apply.
What we will always fix. Billing errors on our side, such as a duplicate charge or a charge after a valid cancellation, are corrected and refunded in full once verified. And nothing in this policy limits any right you hold under mandatory law that cannot be excluded by agreement.
Chargebacks. Raising a card dispute instead of contacting us first is treated as a material breach: the workspace may be suspended while the dispute is open, and we may recover costs where the dispute is found to be unjustified. Write to us first. Genuine errors are fixed quickly.
Acceptable Use Policy
You agree not to use the Services to do, attempt, or facilitate any of the following:
- Spam or bulk unsolicited messaging. Scalegram contains no bulk-sending tools, and you must not use it in combination with any such tool, or use data organised in Scalegram to send unsolicited commercial messages in breach of applicable law.
- Breach of Telegram's terms. You are responsible for your own compliance with Telegram's Terms of Service on every Connected Account. You acknowledge that connecting a personal Telegram account to any third-party tool carries a risk that Telegram limits or bans that account, and that this risk is yours. Bot connections use Telegram's official Bot API, and the AI Assistant attaches through Telegram's official business-chatbot facility.
- Unlawful marketing. Financial promotions are regulated in many jurisdictions. If you market brokers, trading services or investment opportunities, you are solely responsible for holding any required authorisation and for the content of your communications. Scalegram generates no marketing messages except those your AI Assistant sends under your instructions, for which Section 6 applies.
- Deceptive tracking. You must use the Tracking Tools honestly: no fabricated conversion values, no tracking without any legally required consent, and no use of pixels or bridge pages to collect data you have no lawful basis to collect.
- Unlawful or harmful content and activity, including fraud, phishing, impersonation, malware distribution, or the promotion of services that are illegal where you offer them.
- Abuse of the Platform, including attempts to breach tenant isolation, probe or overload the infrastructure, resell access without our written agreement, or reverse-engineer the software except where law permits.
We may investigate suspected violations and may suspend or terminate under Section 3.6. Where required, we cooperate with lawful requests from authorities.
AI Assistant Notice
The AI Assistant generates replies automatically from instructions you write and, once you attach it to your Telegram profile through Telegram's business-chatbot facility, sends those replies to people who message you. Understand and accept the following before enabling it:
- You are the sender. Replies the AI Assistant sends are sent on your behalf and under your name or brand. Legally and commercially, they are your communications.
- AI output can be wrong. Generated text may be inaccurate, incomplete or inappropriate despite your instructions. You must review the assistant's configuration, monitor its conversations through the analytics provided, and correct or take over any conversation where needed.
- Your instructions must be lawful. You must not instruct the assistant to make false claims, to promise returns or outcomes, to give financial, legal or medical advice, to pressure vulnerable people, or to say anything you could not lawfully say yourself.
- No advice. The AI Assistant is a sales and support tool. Nothing it generates is advice from Singuard, and we accept no responsibility for decisions made by anyone in reliance on its output.
- Logging. Assistant conversations are stored in your workspace like any other synced conversation, and performance metrics are computed from them for your analytics pages.
Privacy Policy
How data is handled in and around Scalegram
7.1 Two Roles
For account data (the Customer's company details, billing records, User accounts, support history and website analytics) Singuard is the controller. For workspace content, above all Lead Data synced from Connected Accounts, captured by bridge pages, or generated by the AI Assistant, the Customer is the controller and Singuard is a processor acting only on the Customer's instructions. A data-processing agreement forms part of these terms for business customers; contact us for a signed copy.
7.2 What We Process
- Account data: names, emails, company details, billing and subscription records, support correspondence.
- Workspace content: Telegram contact profiles, message history mirrored from Connected Accounts, notes, tags, trading-account records the Customer enters or imports, emails captured on bridge pages, AI Assistant conversations.
- Connection credentials: Telegram session data and bot tokens, stored encrypted, never displayed after creation, and deleted when a connection is removed.
- Tracking data: click records for the Customer's tracking links (with IP addresses stored only as hashes), advertising click identifiers and pixel event logs.
7.3 If You Are a Lead
If your messages or details appear in a Customer's workspace, that Customer decides why and how your data is used; Singuard stores and processes it on their behalf. To access, correct or delete your data, contact the business you were talking to on Telegram. If you cannot reach them, contact us and we will pass your request to the responsible Customer and assist as the law requires.
7.4 Advertising Platforms and Hashed Data
Where a Customer enables pixel integrations, event data is sent to the chosen platforms (such as Meta or TikTok). Email addresses are hashed before transmission; raw email addresses are not sent to advertising platforms and are not stored in event logs. The Customer is responsible for having a lawful basis, and where required consent, for this tracking.
7.5 Retention, Security and Transfers
Workspace content is retained while the workspace exists, subject to any retention settings the Customer configures, and is deleted after workspace deletion following a short recovery window. Credentials and secrets are encrypted at rest; access is role-restricted and logged. Where data is transferred internationally we use recognised safeguards. We use a small number of sub-processors for hosting, email delivery and payment processing; a current list is available on request.
7.6 Your Rights
Depending on your jurisdiction you may have rights to access, rectify, erase, restrict or port personal data, and to object to certain processing. For account data, contact us directly. For Lead Data, Section 7.3 applies. You may also complain to your data-protection authority.
Cookie Policy
This website uses essential cookies to function and, only with your consent, analytics cookies to understand how the site is used. You can accept or decline analytics cookies in the banner, and change your mind by clearing cookies for this site.
Cookies set by Customer tooling. Tracking links, interstitial pages and bridge pages operated by Customers may set cookies (such as a click identifier) and may trigger advertising pixels, according to that Customer's configuration. The Customer is responsible for the consent requirements applying to those cookies and pixels in the markets it targets; Scalegram provides per-page consent settings for this purpose.
Third-Party Platforms
- Telegram. Telegram is a trademark of its owner. Scalegram is an independent product and is not affiliated with, endorsed by or sponsored by Telegram. Telegram may change its terms, its APIs or its enforcement at any time; such changes may affect features, and where a feature becomes unavailable for reasons outside our control this is not a defect in the Services. Restrictions Telegram applies to a Customer's account are between the Customer and Telegram.
- Meta and TikTok. Meta and TikTok are trademarks of their owners; mention denotes interoperability only. Attribution, match quality, event delivery and advertising outcomes are determined by those platforms, and we make no promise about advertising performance, costs or results.
- Brokers. Broker names a Customer adds to its workspace are the Customer's own records. Singuard has no relationship with, and makes no representation about, any broker referenced in a workspace.
Warranties, Liability & Indemnity
The Services are provided "as is" and "as available". We warrant that we will provide the Services with reasonable skill and care; beyond that, and to the maximum extent permitted by law, we disclaim all warranties, express or implied, including fitness for a particular purpose, uninterrupted or error-free operation, the accuracy of AI-generated content, the accuracy of analytics, and the achievement of any commercial result.
Liability cap. To the maximum extent permitted by law, Singuard's total aggregate liability arising out of or in connection with the Services in any 12-month period is limited to the fees you paid for the Services in that period. We are not liable for indirect or consequential loss, loss of profit, loss of business, loss of data (beyond restoring from our backups), advertising spend, or losses caused by Telegram, advertising platforms, payment providers or other third parties. Nothing excludes liability that cannot lawfully be excluded, including for fraud.
Indemnity. You will indemnify Singuard against third-party claims, fines and reasonable costs arising from your content, your marketing, your instructions to the AI Assistant, your use of the Tracking Tools, your breach of Telegram's or any advertising platform's terms, or your breach of these terms.
Governing Law & Disputes
These terms and any dispute or claim arising out of or in connection with them or the Services are governed by the laws of the Hong Kong Special Administrative Region, and the courts of Hong Kong have exclusive jurisdiction, except where mandatory law of your home jurisdiction grants you the right to bring or defend proceedings there. Before starting formal proceedings, you agree to contact us and attempt in good faith to resolve the matter; most issues are resolved this way.
If any provision of these terms is found unenforceable, the remainder stays in force. A failure to enforce a provision is not a waiver. You may not assign these terms without our consent; we may assign them within our corporate group or on a sale of the business.
