Marshall Islands Companies in Trading.

The Marshall Islands registry is best known for ships. It also incorporates a large share of the world's offshore holding companies, and a steady trickle of brokers who mistake that for supervision.

The Republic of the Marshall Islands runs one of the largest ship registries in the world and a corporate registry administered abroad through a private registrar. The corporate product most firms use is the non resident domestic corporation, a company formed under Marshall Islands law that does not carry on business within the country. It is fast to form, familiar to lawyers because the statute borrows heavily from Delaware corporate law, and widely accepted for holding assets, owning vessels and sitting at the top of group structures.

What it is not is a financial services authorisation. There is no Marshall Islands retail forex or CFD licence to apply for. When a broker's footer names a Marshall Islands company and gives a registration number, that number is a company file number. A client checking it confirms the company exists. Nothing in that check tells them whether client money is segregated, whether the firm has capital, or whether anyone can be complained to. That distinction is the whole of licence versus registration.

Who supervises what

The country does have financial supervision. A Banking Commissioner oversees banking activity and the associated anti money laundering framework, and the Marshall Islands participates in the international standards processes that apply to small jurisdictions, including tax transparency and anti money laundering assessments. The maritime administration governs the ship registry. None of these bodies runs a conduct regime for retail leveraged trading, which is why an operator will not find a rulebook covering leverage caps, negative balance protection or client money rules.

The Marshall Islands also legislated for a sovereign digital currency, a proposal that attracted public commentary from international financial institutions about the risks for a small economy. It has no bearing on broker licensing, but it shows up in jurisdiction research and it is worth knowing the reference when a compliance officer mentions it.

Listing status and substance requirements for small jurisdictions change. The Marshall Islands has appeared in European Union tax listing exercises in past years and requirements have been amended in response. Verify current status with counsel rather than with a formation agent's brochure.

Why the structure fails at the payment layer

Founders choose it for the reasons the brochure gives: speed, low cost, no local tax on foreign source income, no requirement to file accounts publicly. Every one of those features reads differently on the other side of the desk. No public accounts means the bank cannot verify financial standing from an independent source. No local operations means the substance question has no good answer. No financial licence means the entity risk score is at the top of the range from the first minute.

Add the product. Leveraged retail trading sits in merchant categories the card schemes monitor closely, with chargeback ratio thresholds that trigger remediation programmes and, if unresolved, termination. An acquirer weighing an unlicensed Pacific incorporated merchant against that monitoring burden usually declines, and the ones that accept price for it with reserves. Correspondent banking is the harder wall. A local bank that takes your account still needs a correspondent to move dollars, and correspondents de risk entire categories rather than assess firms one by one. When a category is cut, the account holder is not consulted and often not told the real reason. The counterparties beyond payments

Liquidity providers run know your business checks because their own supervisors require them to identify their counterparties and understand the flow. A Marshall Islands company with a nominee structure and no licence is a file they can reject cheaply. Platform vendors increasingly ask the same questions, partly for their own risk and partly because their infrastructure partners ask them. Advertising platforms require an authorisation declaration for the country being targeted in financial services categories, and app store review applies a similar test to trading applications. There is no declaration a plain incorporation can make.

None of this is a claim about any named institution's policy. It is the mechanism: risk categories, monitoring thresholds, supervisory expectations on the counterparty, and automated scoring that a good story does not override.

Where it does belong

A Marshall Islands company is a reasonable holding vehicle inside a group whose operating company is licensed somewhere with a supervisor, and it is a sensible owner for assets like vessels, which is what the registry was built for. It is a bad choice as the client facing entity of a retail brokerage, because it gives the client nothing to check and the firm nothing to show. Firms wanting an offshore base with an actual supervisor and a public register have alternatives, and the trade offs are laid out in offshore broker licences.

Whatever entity sits on the client agreement, the evidence has to exist in the systems: identity and source of funds records, segregated ledgers, an audit trail on every balance change and reporting a bank can read without a call.
